In January 2003, the Securities and Exchange Commission (SEC) adopted new rules relating to proxy voting by investment companies
and investment advisors. Registered investment management companies are now required to disclose the policies and procedures that
they use to determine how to vote proxies relating to portfolio securities, and to file with the Commission and make available to
their shareholders the specific proxy votes that they cast.
In addition, the SEC requires registered investment advisors to adopt and implement written policies and procedures:
- Reasonably designed to ensure that proxies are voted in the best interest of their clients and to disclose to clients information
about those policies, and
- Disclose to clients how they may obtain information about how the advisor voted their proxies and retain records relating to voting
proxies on client securities.

From Our Voting Records:
Please Click on the "Proxy Voting Records" button to access our records and follow the Proxy Voting Search instructions. You can access the
information you need in the following three ways:
- You can search by MTB Fund - choose a specific MTB Fund and view the proxy voting activity for each company held in this fund's portfolio. Companies are listed alphabetically.
- You can search by company - click on any company name to view a list of matters upon which company shareholders (including the MTB Fund or Funds) were entitled to vote during the most recent 12 months and how specific MTB Funds voted on such matters. Companies are listed alphabetically.
- You can search by meeting date - key in specific dates or click on the calendars to select a certain time period, then click "Go" to search. Companies are listed alphabetically.
Please note that the Fixed Income and Money Market Funds are not listed
because they did not hold any voting securities during the period.
